Default replacing transmission

Well Darby has let me down. She has a cracked head gasket so my mom found a 98 beetle thats an automatic and has no cool keyless entry with a flippy key(which is a must for me) but this car has a bad transmission the person who has it is going to sell it for like $400 or whatever the dump says they will give her for it. So my dad decided that if we buy it and my dad can fix it and Darby then i can choose which one i want and we can sell the other and make out better than before.How much work and money would be necessary to replace the transmission on the one and replace the head gasket on the other? . And can i install keyless entry and have the key changed to be a flippy key in the 98?
